Bylaws of the Schuyler County Family Play and Resource Center

Article I: Office

The office of the Schuyler County Family Play resource Center (FPRC) shall be housed under the office of the Schuyler County Youth Bureau at the Human Service Complex on 323 Owego St. Suit 128 Unit 6 Montour Falls, New York. The FPRC Board shall function officially as a subcommittee of the Youth Bureau Board of Directors, and the FPRC will operate as a subsidiary of Schuyler County.

Article II: Purpose

The FPRC will provide families with a safe, developmentally appropriate, resource-rich setting where children and parents can play and learn together. The FPRC will promote and draw upon collaborative relationships with families, organizations, agencies, business and government entities.

Article III: Membership of the Board of Directors

1. Composition
The Board of Directors will have a minimum of 10 members and a maximum of 20 members. The membership must include at least 2 parent FPRC participants, as well as representatives from human service agencies, educational entities, the health care community, and the business sector. The FPRC Board must include at least one member of the Schuyler County Youth Board of Directors.
2. Becoming a Member
To become a member of the Board of Directors, the Nominating Committee must submit one’s name to the Board for approval. Upon receiving the approval of the majority of the Board members present at a meeting during a formal vote, a nominated individual thereby becomes a member of the Board of Directors.
3. Terms
Convening board director terms shall be of staggered one-,two-, or three-year terms to ensure continuity; after the FPRC completes its second year of operation, all subsequent directors’ terms shall be for three years.
4. Vacancies
The Nominating Committee will fill vacancies by submitting names to the Board for consideration when there is turnover among the membership.
5. Expulsion
If the Board of Directors determines that just cause exists for ending a member’s term and carries a motion to that effect, that member’s term is terminated. A previously expelled member may be submitted by the Nominating Committee for consideration for membership one year after expulsion. If a member misses three consecutive meetings without notice of absence, Board members may exercise their right to expel.
6. Compensation
Board members will receive no salary or compensation for their service as directors.
7. Conflicts of Interest
Should resolution come before the Board of Directors that could directly impact the financial status of a given member (e.g. a contract involving a board member bidding on the contract), that member must excuse himself or herself from the voting.

Article IV: Meetings

1. Meeting and Officer Protocol
The Board will meet a minimum of six times per calendar year. The annual meeting will be held in November, at which meeting slates for new officers will be submitted and voted upon. Notice of regular meetings will be delivered at least seven days prior to the meeting.
2. Quorum
Six members define quorum, and must include at least one parent and at least two officers.
3. Voting and Proxies
All duly elected members have voting privileges, except for members employed by the Schuyler County Youth Bureau, who may serve as ex-officio members. Board members may vote by proxy.
4. Special Meetings
The President may call special meetings with notice of at least three days.
5. Agenda
The agenda will be set by the President. If any member would like an item added to the agenda, he or she must notify the President at least 24 hours prior to the meeting.
6. Parliamentary Authority
Unless otherwise specified, Robert’s Rules of Order will provide guidelines for all Board business.

Article V: Officers

1. Terms
New officers elected during the November annual meetings will assume their respective positions on January 1 of the following calendar year. Officers serve a one-year term, and can serve up to three consecutive years as an officer.
2. Duties of the Board and its Officers
The board will be entrusted with the management of the financial, legal and operational matters of the FPRC. The Board will have four officers: President, Vice President, Secretary, and Treasurer.
A. President
The President shall serve as the Chief Executive Officer of the FPRC. The President will preside at meetings of the Board, be responsible for the general management of the affairs of the FPRC, and ensure the implementation of all orders and resolutions acted upon by the Board.
B. Vice President
The Vice President will serve in the President’s place during the President’s absence.
C. Secretary
The Secretary will keep minutes of the meetings of the FPRC Board of Directors, retain files with records documenting FPRC business, keep current membership rolls, and will be responsible for correspondence with FPRC Board members, including and especially timely meeting notices.
D. Treasurer
The Treasurer shall have the care and custody of all the funds and securities of the FPRC, and shall conduct fiscal affairs in accord with Board approved financial procedures.

Article VI: Standing Committees

The FPRC board will have three standing committees, whose members are appointed by the President. Standing committees may include individuals who are not members of the FPRC Board. Special ad hoc committees may be formed by a Board resolution to address emerging issues at any time. The President will appoint members of the ad hoc committees. Three standing committees are:
A. Nominating Committee
The Nominating Committee will recruit new members for the Board to fill vacancies and will nominate officers for the slate at the annual meeting.
B. Fund Raising Committee
The Fund Raising Committee will explore ways of raising money for the FPRC and will procure funds in coordination with the Board of Directors.
C. Program Committee
The Program Committee will conduct educational activities at the FPRC.

Article VII. Amendments

Any amendment to the bylaws requires a resolution to be moved upon for a vote at the following meeting. At that time, a simple majority will serve to create an amendment to the bylaws.
